Aradigm, Inc. (“Company,” “we,” or “us”) provides access to information through our website accessible at the URL https://aradigmhealth.com/ (collectively referred to as the “Site”). We may provide the ability to use certain functionalities of the Site or provide services of various kinds(the “Services”). The Site and Services are made available to you only under the following terms and conditions (the “Terms”).

You promise that any information about yourself that you voluntarily provide to us will be true, accurate, complete, and current.

We may, at our sole discretion, at any time and without advance notice or liability, suspend, terminate, or restrict your access to all or any component of the Site or Services. In addition, access to the Site or Services may be modified or withdrawn by your prescription benefit plan sponsor at any time and without advance notice or liability.
B. Use of Third-party Offerings
The Site and information you obtain from the Site may contain links to other websites that we do not operate or control and for which we are not responsible (“Other Websites”). We provide these links for your reference and convenience but do not endorse the contents of Other Websites. We do not guarantee the security of any information transmitted to or from the Site or Services to Other Websites, nor are we responsible for the content, security, or privacy measures of Other Websites. You should refer to the separate terms of use, privacy policies, and other rules posted on these Other Websites before you use them. You agree not to create a link from any website, including any website controlled by you, to our Site.
C. Ownership
We own the Site and we and/or our vendors and suppliers, as applicable, own all of the text, images, software, trademarks, service marks or other material contained in the Site (“Content”). You may not copy or transmit any of the Content, except for your personal, non-commercial use on your computer (unless you have a separate agreement signed by us specifying other permitted uses). All copyright, trademark and other proprietary rights or notices included in the Content as presented on the Site must appear on all copies you print. Other product, service, or company designations on the Site belong to other companies and may be mentioned for identification purposes only. In no event shall we be liable for any decision made or action taken in reliance on the information contained in the Site or by a physician, pharmacist, or other applicable clinician.
B. Limited Warranties
The Services, the Site, all information, Content, materials and services related to the foregoing are provided “as is” and “as available.” To the fullest extent permissible under applicable law, we and our affiliates disclaim all warranties, express or implied, including, but not limited to, title, non-infringement, non-interference, system integration, accuracy of data, trade. usage, course of dealing, and course of performance. Applicable law may not allow the exclusion of certain implied warranties, so the above exclusion may not apply to you. We and our affiliates make no warranty and expressly disclaim any obligation, that (i) your use of the Site or Services will meet your requirements or be available on an uninterrupted, timely, secure, error-free or virus free basis; (ii) the Content will be up-to-date, complete, comprehensive, accurate, or applicable to your circumstances; (iii) the results that may be obtained from the Site or Services will be accurate or reliable; or (iv) the quality of any Services or Content obtain by you through the Site will meet your expectations. You will be solely responsible for any damage to your computer system or loss of data that may result from the download of any such material or from reliance upon the site or services, and you are advised to maintain offline backup copies of all user content. C. Limitation of Liability

In no event will we or our affiliates be liable for any indirect, incidental, consequential or special damages in connection with these Terms, the Services, the Site, or any products, whether or not such damages were foreseeable and even if we were advised that such damages were likely or possible.
We (together with our officers, directors, employees, representatives, affiliates, and providers) will not be responsible or liable for (i) any damages to or viruses that may infect your computer equipment or other property as the result of your access to the Site, your downloading of any Content, or your use of the Services, or (ii) any injury, death, loss, claim, act of god, accident, delay, or any indirect, special, exemplary, punitive, indirect, incidental, or consequential damages of any kind (including without limitation lost profits or lost savings), whether based in contract, tort, strict liability, or otherwise, that arise out of or is in any way connected with: (a) any use of the Site, the Services, or the Content; (b) any failure or delay; or (c) the performance or nonperformance by us or any provider, even if we have been advised of the possibility of damages to such parties or any other party. D. Exclusions
The limitations or exclusions of warranties and remedies contained in these terms shall apply to users of the Site and Services to the fullest extent such limitations or exclusions and remedies are permitted under the laws of the jurisdiction where the user is located. If applicable law requires any warranties with respect the Site or Services, all such warranties are limited in duration to ninety (90) days from the date of use. Certain states and/or jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the exclusions set forth above may not apply to you.
E. Indemnification
You agree to indemnify, hold harmless and, at our option, defend Company (including our affiliates, officers, directors, employees, agents, licensors, suppliers and any third-party information providers) from and against all damages, claims, demands, liabilities, costs, and expenses, including reasonable attorneys’ fees, resulting from any violation of these Terms or applicable law, and to the fullest extent permitted by law your use of the Site or any information on the Site.
III. Term and Termination
These Terms will become effective and binding when you use the Site or Service, when you voluntarily provide any information about yourself to us, or when you indicate your agreement by following any instructions we place on the Site (such as buttons labeled “I Agree”) (whichever occurs first). We reserve the right to terminate these Terms, your access to the Site and the Services, or the Site and Services in part or entirely, at any time without notice or liability. Your rights under these Terms will automatically and immediately terminate if you fail to comply with your promises and obligations stated in these Terms. The provisions of sections I.C, (Use ofThird-party Offerings), I.D, (Ownership), II (Disclaimers, Limitations andExclusions of Liability), III (Term and Termination), and IV (MiscellaneousMatters) will survive the termination of these Terms.
IV. Miscellaneous Matters
A. Modifications to Terms and Services
We may change these Terms from time to time at our sole discretion, and reserve the right to modify the Site and/or Services at anytime without notice or liability. If you object to any changes to the Site or Services, your sole recourse will be to cease using the Site and Service. Continued use of the Site or Services following posting of any such changes will indicate your acknowledgement of such changes. We will not be liable to you or any third-party should we exercise our right to modify or discontinue the Site or the Services.
B. General Terms
You agree to comply with all laws, rules and regulations that apply to your use of the Site and the Services. If we fail to act with respect to your breach or anyone else’s breach of these Terms on any occasion, we are not waiving our right to act with respect to future or similar breaches. If any provision of the Terms are found by a court of competent jurisdiction to be unenforceable or invalid, the Term will be enforced to the fullest extent permitted, giving effect to the intent and purpose of the unenforceable or invalid provision, and the other Terms shall remain valid and enforceable. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word including means including without limitation. These Terms together with any agreements made a part of these Terms by reference, make up the entire agreement between you and us relating to your use of the Site and Services. You may not assign, delegate or transfer your rights or obligations under these Terms. We may assign our rights and duties under these Terms without such assignment being considered a change to the Terms and without notice to you. Nothing contained in these Terms will be deemed to constitute either party as the agent or representative of the other party, or both parties as joint venturers or partners for any purpose. The laws of New York without regard to its conflict of laws rules, will govern these Terms, as well as your and our observance of them. If you take any legal action relating to your use of the Site, Services, or theseTerms, you agree to file such action only in the state and federal courts located in the county of New York, within the State of New York. In any such action or any action we may initiate, the prevailing party will be entitled to recover all legal expenses incurred in connection with the action, including but not limited to costs, both taxable and non-taxable, and reasonable attorney fees.

This Privacy Policy does not apply to information collected from users who log-in to the password-protected and secure portions of our Platform (“Secure Platform”). The Secure Platform allows users who obtain the Services (“Customers”) to perform certain functions or obtain the Services (such as telehealth visits from Medical Group or Providers). Some of the information collected and stored by us or added by Customers into such Secure Platforms may be considered Protected Health Information ("PHI") and/or medical information and is governed by applicable state and federal laws that apply to that information. How we use and disclose such PHI is in accordance with the applicable Notice of Privacy Practices provided to you by the Medical Group. We will not use or disclose information collected from the Secure Platform or received from Medical Group or your Provider for advertising, marketing, or other use-based data mining purposes. We will not sell any PHI.

Health Information
Some Personal Information we collect may constitute protected health information under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”). As set forth above, your Provider will provide you with a Notice of Privacy Practices describing their collection and use of your health information, not Aradigm Health. We will only collect, use, and disclose protected health information to the Provider for the purposes of providing the Services and we only collect the minimum amount necessary to fully perform and provide the Services on our Platform. We may combine your protected health information with Personal Information that we have either obtained from you or through a third-party, such as your Provider, health insurer, employee benefits program, or other health care providers. Protected health information will not be used for any other purpose, including marketing, without your consent.

We collect most of this Personal Information directly from you. For example, when we speak to you by phone, text message, and e-mail. Additionally, we will collect information from you when you visit our Website and fill out forms, use our Software, or purchase our Services.

When you make payments through the Platform. We do not collect or store financial account information, though we may receive transaction identifiers and summary information that does not include credit card or bank account numbers.

Google Ads (AdWords). Google Ads (AdWords) remarketing service is provided by Google Inc. Google also recommends installing the Google Analytics Opt-out Browser Add-on – https://tools.google.com/dlpage/gaoptout– for your web browser. How do we use your Personal Information?
We may use your Personal Information for the following purposes:

If you do not wish to have your e-mail address used by Aradigm Health to promote our own Products and Services, you can opt-out at any time by clicking the unsubscribe link at the bottom of any e-mail or other marketing communications you receive from us or logging onto your Account Preferences page. This opt out does not apply to information provided to Aradigm Health as a result of a product purchase, or your use of our Platform and/or the Services. You may have other options with respect to marketing and communication preferences through our Platform.
You may also see certain ads on other websites because we participate in advertising networks. Ad networks allow us to target our messaging to users through demographic, interest-based, and contextual means. These networks track your online activities over time by collecting information through automated means, including through the use of cookies, web server logs, and web beacons. The networks use this information to show you advertisements that may be tailored to your individual interests.
How do I access and correct my Personal Information?
You can review and change your Personal Information by contacting us via email at privacy@aradigmhealth.com to inform us of any changes or errors in any Personal Information we have about you to ensure that it is complete, accurate, and as current as possible or to delete your account. We cannot delete your personal information except by also deleting your account with us. We may also not be able to accommodate your request if we believe it would violate any law or legal requirement or cause the information to be incorrect.
III. Who may use the Services?
Aradigm Health operates subject to state and federal regulations, and the Platform and/or the Services may not be available in your state. You represent that you are not a person barred from enrolling for or receiving the Services under the laws of the United States or other applicable jurisdictions in which you may be located. Access to and use of the Platform and/or the Services is limited exclusively to users located in states within the United States where the Platform and/or the Services is available. The Platform and/or the Services are not available to users located outside the United States. Accessing the Platform and/or obtaining the Services from jurisdictions where content is illegal, or where we do not offer the Platform and/or the Services, is prohibited.
IV. Children’s Privacy
We do not knowingly collect or sell Personal Information from children under the age of 18. If you are under the age of 18, do not use or provide any information on or to the Platform or through any of its features. If we learn we have collected or received Personal Information from a child under the age of 18 without verification of parental consent, we will delete it. If you are the parent or guardian of a child under 18 years of age whom you believe might have provided use with their Personal Information, you may Contact Us to request the Personal Information be deleted.
V. Does Aradigm Health respond to Do Not Track signals?
Some web browsers have a “Do Not Track” feature. This feature lets you tell websites you visit that you do not want to have your online activity tracked. These features are not yet uniform across browsers. Our Platform is not currently set up to respond to those signals.
VI. Data Security
We have taken steps and implemented administrative, technical, and physical safeguards designed to protect against the risk of accidental, intentional, unlawful, or unauthorized access, alteration, destruction, disclosure, or use. The Internet is not 100% secure and we cannot guarantee the security of information transmitted through the Internet. Where you have been given or you have chosen a password, it is your responsibility to keep this password confidential.
The sharing and disclosing of information via the internet is not completely secure. We strive to use best practices and industry standard security measures and tools to protect your data. However, we cannot guarantee the security of Personal Information transmitted to, on, or through our Services. Any transmission of Personal Information is at your own risk. We are not responsible for the circumvention of any privacy settings or security measures contained on our Platform, in your operating system, or mobile device.
VII. California’s Shine the Light Law.
California Civil Code Section 1798.83 (California’s “Shine the Light” law) permits users of our Platform and/or the Services that are California residents and who provide Personal Information in obtaining products and services for personal, family, or household use to request certain information regarding our disclosure of Personal Information to third parties for their own direct marketing purposes. If applicable, this information would include the categories of Personal Information and the names and addresses of those businesses with which we shared your Personal Information with for the immediately prior calendar year (e.g. requests made in 2021 will receive information regarding such activities in 2020). VII. Changes to our Privacy Policy
We may update our Privacy Policy periodically to reflect changes in our privacy practices, laws, and best practices. We will post any changes we make to our Privacy Policy on this page with a notice that the Privacy Policy has been updated on our Website’s homepage. If we make material changes to our practices with regards to the Personal Information we collect from you, we will notify you by e-mail to the e-mail address specified in your account and/or through a notice on the Platform.
